1. Agreement to Terms
These Terms and Conditions (“Terms”) constitute a binding agreement between you and Georgia Medical Staffing, LLC (“GMS,” “Company,” “we,” “us,” or “our”) governing access to and use of our website, any related portals, mobile interfaces, and online tools (collectively, the “Site”). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Privacy Statement, which are incorporated herein by reference.
If you do not agree, you must not use the Site. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. About Our Services
GMS is a healthcare staffing and recruitment firm. We connect licensed and credentialed healthcare professionals—including physicians, advanced practice providers, registered nurses, and allied health personnel—with hospitals, health systems, clinics, and other client facilities primarily in Georgia and the southeastern United States. Our services may include locum tenens, temporary, travel, contract, temp-to-permanent, and permanent placement; credentialing coordination; and related administrative support.
GMS is not a healthcare provider. We do not practice medicine, nursing, or any licensed profession, and we do not provide patient care, clinical advice, or medical treatment through this Site. Nothing on the Site creates a physician-patient, provider-patient, or clinician-patient relationship.
Actual staffing engagements are subject to separate written agreements among GMS, clients, and clinicians (or their employers), including but not limited to master service agreements, locum tenens agreements, employment agreements, independent contractor agreements, and facility privileging requirements.
3. Eligibility and Permitted Use
You must be at least 18 years of age and able to form a binding contract to use the Site. You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not:
- Use the Site in any manner that violates applicable federal, state, or local law or regulation;
- Impersonate any person or entity or misrepresent your affiliation, credentials, licensure, or authority;
- Upload or transmit viruses, malware, or other harmful code, or attempt to gain unauthorized access to our systems or data;
- Scrape, crawl, harvest, or use automated means to access the Site without our prior written consent;
- Interfere with the operation of the Site or impose an unreasonable load on our infrastructure;
- Use job listings, contact information, or proprietary content for competing recruitment or solicitation without authorization;
- Submit false, misleading, or fraudulent applications, inquiries, or credentials.
4. No Employment or Placement Guarantee
Information about job opportunities, assignments, specialties, locations, compensation ranges, or schedules displayed on the Site is provided for general informational purposes only. Posting or describing an opportunity does not guarantee availability, selection, interview, offer, assignment, shift coverage, or continued engagement.
All hiring, contracting, privileging, credentialing, background screening, and placement decisions are made at the sole discretion of GMS and/or our clients, subject to applicable law, professional licensing requirements, and client policies. GMS does not guarantee that any candidate will be placed, or that any client will receive candidates meeting specific timing or quality expectations.
5. Professional Credentials and Compliance
Healthcare professionals who work with GMS or our clients must maintain all licenses, certifications, registrations, immunizations, training, and privileging required by applicable law and by the assigning facility. You are solely responsible for the accuracy of credentials and information you provide. GMS and our clients may verify credentials through primary sources, background checks, drug screening, exclusion lists (including OIG/GSA), and other compliance processes as permitted by law and contract.
Clients are responsible for facility-specific policies, supervision of clinical services, and compliance with accreditation standards (including, where applicable, Joint Commission or other accrediting body requirements) within their own organizations.
6. User Submissions and Communications
When you submit forms, résumés, curricula vitae, messages, or other materials through the Site, you represent that the information is accurate and complete to the best of your knowledge. You grant GMS a non-exclusive, royalty-free license to use, reproduce, and share submissions as reasonably necessary to evaluate inquiries, conduct recruitment, perform credentialing, communicate with clients, and operate our business.
We may retain submissions in accordance with our Privacy Policy and applicable recordkeeping requirements. Do not submit information you are not authorized to share, including confidential patient information protected by HIPAA or state privacy laws.
7. Intellectual Property
All content on the Site—including text, graphics, logos, icons, images, audio, video, data compilations, software, and the arrangement thereof—is owned by GMS or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. The GMS name, logos, and related marks may not be used without prior written permission.
You may view and download content for personal, non-commercial use only. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Site content without our express written consent.
8. Third-Party Links and Services
The Site may contain links to third-party websites, applications, or services (including payroll vendors, credentialing systems, or social media). Such links are provided for convenience only. GMS does not control and is not responsible for the content, policies, or practices of third parties. Your use of third-party services is at your own risk and subject to their terms.
9. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GMS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
GMS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT. ANY RELIANCE ON SITE CONTENT IS AT YOUR SOLE RISK.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GMS, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GMS’S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO GMS FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence or willful misconduct where prohibited.
11. Indemnification
You agree to defend, indemnify, and hold harmless GMS and its members, managers, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) any information or content you submit, including inaccurate credentials or unauthorized disclosures.
12. Release for Clinical and Client Matters
To the fullest extent permitted by law, you acknowledge that GMS’s role is limited to staffing and recruitment coordination. GMS is not responsible for clinical outcomes, patient care, professional judgment, acts or omissions of placed clinicians, or operational decisions of client facilities. Disputes regarding clinical services, workplace conditions, billing between clients and clinicians, or privileging decisions must be addressed under applicable contracts and professional frameworks, not through these Terms alone.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Except where prohibited by law, you agree that any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Gwinnett County, Georgia, and you consent to personal jurisdiction and venue in such courts.
Before filing suit, the parties agree to attempt in good faith to resolve disputes through direct negotiation for at least thirty (30) days after written notice to the other party.
14. Modifications
We may revise these Terms at any time by posting an updated version on the Site with a new “Last Updated” date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree to changes, you must stop using the Site.
15. Severability and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Privacy Policy and Privacy Statement, constitute the entire agreement between you and GMS regarding use of the Site and supersede prior oral or written understandings on that subject.
